Birdify Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of Birdify, an AI-powered reputation intelligence and customer experience platform (the "Service"), provided by the operator identified below. By creating an account, starting a trial, or otherwise using the Service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

These Terms are drafted as an international baseline for customers using Birdify from many countries. They do not claim to guarantee compliance with the law of every jurisdiction in which customers are located, and mandatory local law may supplement or override specific provisions as described throughout these Terms. Birdify is not offered on a Chile-only basis; it is offered internationally, subject to the eligibility and availability terms below.

Birdify provides tools that help businesses monitor, analyze, and respond to customer reviews and reputation signals, including continuous review monitoring, per-review AI analysis, AI-suggested review responses, a Business Health Score, dashboards, reports, and integrations with third-party platforms such as Google Business Profile.

Availability of specific features depends on your subscription plan and on the continued availability of third-party platforms (such as Google) that Birdify integrates with. Birdify does not guarantee any specific business outcome, review volume, rating improvement, or revenue result from use of the Service.

Birdify is designed primarily for business use. If you use the Service on behalf of a business, you represent that you have the authority to accept these Terms and to authorize Birdify's access to connected accounts (such as Google Business Profile) on the business's behalf.

Nothing in these Terms limits or waives any mandatory consumer protection rights that may apply to you under the law of your jurisdiction where you legally qualify as a consumer in a given transaction.

Birdify is made available to customers in multiple countries. Certain features, integrations, tax treatments, or payment options may vary by region, and Birdify does not represent that the Service is appropriate or available for use in every location.

You must be at least the age of legal majority in your jurisdiction and able to form a binding contract to use the Service. You must provide accurate registration information and keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at the support address if you suspect unauthorized access to your account.

Birdify may offer a 7-day free trial providing access to Professional plan features ("Trial"). A valid payment method is generally required to start a Trial. No fee is normally charged during the Trial period itself.

Trial eligibility is generally limited to one Trial per customer or workspace. Birdify or its payment provider may perform account verification or a temporary authorization hold on the payment method to confirm validity; such a hold is not a charge for the Service.

Unless cancelled before it ends, the Trial automatically converts to a paid Professional subscription billed at $99 USD per month, renewing monthly, using the payment method on file.

Checkout will disclose the Trial length, the Trial expiration date, the price and currency that will be charged, the billing frequency, applicable taxes, that the subscription automatically renews, and how to cancel, before you confirm enrollment.

Birdify offers the following subscription plans: Starter at $49 USD/month, Professional at $99 USD/month, Business at $249 USD/month, and Enterprise at custom pricing negotiated directly with Birdify.

If you have a separate signed Enterprise agreement with Birdify, that agreement controls over these Terms only to the extent it expressly conflicts with a specific provision here.

Subscription prices are denominated in USD as the base currency. Checkout may display an equivalent amount in your local currency, including currency conversion and applicable taxes, for your convenience. Birdify does not guarantee any specific foreign exchange rate, and actual amounts charged may vary slightly due to conversion performed by your card issuer or payment provider.

Prices may exclude applicable sales tax, VAT, GST, IVA, or similar taxes unless stated otherwise. Applicable taxes may be calculated and collected at checkout depending on your location and the payment provider used.

Where a Merchant of Record is used to process your transaction, additional tax terms disclosed by that Merchant of Record at checkout may supplement this section.

Payments are processed by an independent payment provider and, where applicable, a Merchant of Record. That provider may collect and process your payment details, perform fraud and risk checks, calculate and collect applicable taxes, issue receipts or invoices, and manage chargebacks and disputes.

Birdify does not store complete card details on its own systems.

Paid subscriptions renew automatically at the end of each billing period for the same plan and duration, at the then-current price, unless cancelled before the renewal date.

You may cancel at any time on a self-serve basis through your Billing settings within the Service, or through the payment provider's customer portal where applicable. Cancellation does not require a phone call, a mailed notice, or a stated reason.

Cancelling during the Trial prevents the first charge from occurring, and your access may continue through the scheduled end of the Trial period. Cancelling a paid subscription stops future renewal charges; you retain access to the Service through the end of the current paid period, and no automatic refund is issued for the remainder of that period except as described in the Refunds section.

Where technically feasible, Birdify sends reminder notifications approximately 3 days and 1 day before a Trial is scheduled to expire and convert to a paid subscription.

If a renewal payment fails, Birdify or its payment provider may retry the charge and will notify you. Access to certain features may be temporarily restricted, and the account may be suspended if the issue is not resolved after reasonable attempts to collect payment and notify you.

Your data is not deleted solely because of a single failed payment.

Except where required by applicable law, required by the applicable payment provider or Merchant of Record, or expressly approved by Birdify, fees for a billing period that has already begun are generally non-refundable.

Birdify may consider refunds in cases such as duplicate charges, demonstrated billing errors, service outages materially affecting your use of a paid feature, or as otherwise required by consumer protection law applicable to you. These Terms do not limit any mandatory statutory refund right you may have.

Full details, including how to request a refund and how approved refunds are processed, are set out in the Birdify Refund Policy, which forms part of these Terms. Refunds and payment reversals are processed through Birdify's authorized payment provider or Merchant of Record.

Depending on your location and whether you legally qualify as a consumer, you may have statutory cancellation, withdrawal, cooling-off, refund, or similar rights that cannot be waived by contract. Nothing in these Terms limits such rights where they apply.

You may upgrade or downgrade your plan at any time through Billing settings. Upgrades generally take effect immediately with prorated billing where applicable; downgrades generally take effect at the next renewal date.

Plan changes do not silently delete your data. For example, if you downgrade to a plan with a lower branch limit than you currently use, Birdify will prompt you to select which branches remain active rather than deleting data automatically.

Birdify may change subscription prices prospectively. We will provide advance notice of the new price and its effective date before it applies to you. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

Each plan includes usage limits, which may include the number of branches or locations, daily AI messages or analyses, data history retention, analytics depth, report generation, and data exports. Limits are enforced on Birdify's backend systems and are described on the pricing page for each plan.

If you connect a Google Business Profile account, you represent that you are authorized to grant Birdify access to that account. Birdify may access data fields such as reviews, ratings, business information, and related metadata made available through Google's APIs.

This integration depends on a third-party platform (Google) that Birdify does not control, and its continued availability, data fields, and functionality may change. Birdify's use of Google Business Profile data complies with Google's applicable API terms.

Birdify uses artificial intelligence to analyze reviews and generate suggested content, scores, and insights. AI-generated output may be wrong, incomplete, or outdated, and can reflect limitations of the underlying models and data.

You are responsible for reviewing AI-generated output before relying on it or acting on it, including before publishing any AI-suggested review response.

Birdify does not guarantee any specific increase in reviews, ratings, customer satisfaction, revenue, or other business outcome from use of the Service.

Content, insights, scores, and suggestions provided by Birdify are for informational purposes only and do not constitute legal, financial, accounting, or other professional advice.

The Business Health Score is an analytical indicator derived from available data and is not a valuation, credit score, audit, or certification of any kind. It may vary over time as underlying data changes, and may be withheld or marked as unavailable where there is insufficient data to compute it reliably.

Birdify may generate suggested responses to customer reviews. You are responsible for reviewing suggested responses before publishing them. Generating a suggested response within Birdify does not, by itself, publish that response; publication occurs only when you use a posting feature that confirms successful submission to the relevant third-party platform.

You retain your rights in data you submit to or connect through the Service ("Customer Data"). Birdify processes Customer Data to provide, maintain, and improve the Service, for the purposes described in the Privacy Policy. The Privacy Policy governs the details of how personal data is collected, used, and protected.

Reviews and related information displayed within Birdify are generally publicly available information sourced from third-party review platforms and are processed to provide analytics and response tools.

The Service may integrate with or link to third-party services that are governed by their own terms and privacy policies. Birdify is not responsible for the practices or availability of third-party services.

Birdify and its licensors own all rights, title, and interest in the Birdify name, branding, software, source code, user interface, design, analytics methodologies, reports, documentation, database structure, and AI prompts used to operate the Service.

Subject to your compliance with these Terms, Birdify grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

• Copy, modify, or create derivative works of the Service's software or interface
• Reverse engineer, decompile, or attempt to extract source code except where such restriction is legally unrestrictable
• Resell, sublicense, or provide the Service to third parties as a standalone product
• Use Birdify's branding without prior written permission
• Scrape, extract, or replicate the underlying database structure or methodology

Nothing in this section prohibits acts that applicable law makes legally unrestrictable, such as rights expressly reserved to you by mandatory law.

You agree not to use the Service to violate applicable law, infringe third-party rights, transmit malicious code, interfere with the Service's operation, or misuse AI features to generate deceptive, defamatory, or fraudulent content.

You represent that you are not subject to applicable trade sanctions or export control restrictions that would prohibit your use of the Service, and that you will not use the Service in violation of applicable trade control laws.

Birdify does not promise 100% uptime and may experience scheduled maintenance or unplanned downtime. Customers with a separate Enterprise agreement may be subject to a distinct service level agreement (SLA) governing availability commitments.

Birdify may offer beta or experimental features on an as-is basis. Features labeled "Coming Soon" are not part of your current paid entitlement and are not guaranteed to ship on any particular timeline or at all.

Birdify may suspend access to the Service for accounts that violate these Terms, present a security risk, or have unresolved payment issues, generally following reasonable notice where feasible.

Either party may terminate these Terms as described in the Cancellation section. Birdify may terminate an account for material breach of these Terms. Provisions that by their nature should survive termination will survive, including intellectual property, limitation of liability, and dispute resolution provisions.

The Service is provided "as available" without warranties of any kind except as expressly stated in these Terms. Nothing in this section excludes any warranty that cannot lawfully be excluded under applicable law.

To the maximum extent permitted by law, Birdify will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, anticipated savings, reputation, or business continuity, arising from your use of the Service.

Birdify's total aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of the amounts you paid to Birdify in the 12 months preceding the event giving rise to the claim, or USD $100.

This limitation does not apply to liability that cannot be excluded under applicable law, or to liability arising from fraud or willful misconduct.

If you are a business customer, you agree to indemnify Birdify against claims arising from your misuse of the Service or violation of these Terms. Nothing in this section requires a consumer to waive mandatory consumer protections applicable to them.

Certain jurisdictions provide customers with legal rights that cannot be waived or limited by contract. Nothing in these Terms is intended to exclude, restrict, or modify such mandatory rights. If a provision of these Terms conflicts with a mandatory law applicable to you, that law will control only to the extent of the conflict.

These Terms are governed by the laws of the Republic of Chile, except to the extent that mandatory laws applicable to you provide otherwise.

For business customers subject to Chilean law and for any Enterprise agreement, the competent courts of Santiago, Chile will have jurisdiction over disputes arising from these Terms. Consumers retain any mandatory right to bring claims before the courts or authorities of their place of residence where applicable law so requires.

Before pursuing formal proceedings, please contact us at [SUPPORT EMAIL] so we can attempt to resolve the issue directly. This step is not intended to be a mandatory barrier to any statutory remedy available to you.

You consent to receive service-related communications electronically. Marketing communications are handled separately and, where required, are subject to your consent and an unsubscribe mechanism.

Birdify may add, modify, or remove features of the Service over time as part of ongoing development.

Birdify may update these Terms prospectively. We will publish the new version with an updated effective date and notify you of material changes. Material changes will require renewed acceptance before they apply to your continued use of the Service. We will not change these Terms retroactively at any time without notice.

Our Privacy Policy, available at /privacy, is incorporated into these Terms by reference and describes how we collect, use, and protect personal data.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Failure to enforce any provision of these Terms is not a waiver of the right to enforce that provision later.

You may not assign these Terms without Birdify's prior written consent. Birdify may assign these Terms in connection with a merger, acquisition, or sale of assets.

These Terms, together with the Privacy Policy and any applicable Enterprise agreement, constitute the entire agreement between you and Birdify regarding the Service.
